Company law is a class that many law and business students have to take at some point. This was a class I enjoyed in the beginning, but alas, it was another class that was affected by lockdowns in 2020 so, it lost its appeal a little bit when it moved online. I think if I was able to have the class fully in person then this could have easily been one of my favourite classes.
Some of the topics you might cover in this class are:
- theories of the company (i.e what is the purpose of the company?)
- corporate personality
- company formation and pre-incorporation contracts
- corporate capacity
- shareholder agreements
- organs of the company
- duties of the directors and enforcement
- controlling shareholders
- Corporate transactions and liability
The reason why I say that this could have been one of my favourite classes had there been no pandemic is because I LOVED learning about the theories of a company. When I took this class my mid-term essay dealt with some of these theories and I loved it. It was fun, I like dealing with theories in general and theories and applying those theories was just something I really enjoyed.
So, the point of this class is to help us understand the functions of a company, how it operates (in the legal sense) and how statutes interact with the company.
My advice would be to pay attention to statutory law and how it affects companies. Sometimes statutory law requires companies to operate and behave in a specific way and so that means that there are a lot of interactions here. Of course, you may read some interesting cases as well (Dodge v Ford was one of my favourites since it dealt with theories of the company), but I noticed that there is much more statutory law to focus on instead.
